Terms of Service

These Terms of Service ("Terms") govern your access to and use of biddinator.com and the Biddinator software and related services (collectively, the "Services"). By creating an account, purchasing a plan, or using the Services, you agree to these Terms.

1. The Service

Biddinator provides software tools intended to help users work with bid packages and related documents. Features may include uploading bid packages or specification documents, automatically identifying or extracting forms, making forms editable, entering information, reviewing documents, and exporting completed or partially completed files.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use the Services. If you use Biddinator on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts and Security

  • You are responsible for providing accurate account information.
  • You are responsible for maintaining the confidentiality of your login credentials and for activity under your account.
  • You must notify us promptly if you believe your account has been accessed without authorization.

4. Subscription, Billing, and Cancellation

If you purchase a recurring subscription, you authorize us or our payment processor to charge the applicable subscription fee at each billing interval until you cancel. You may cancel at any time through available account settings or by contacting [email protected]. Cancellation generally takes effect at the end of the current paid billing period.

One-time or lifetime purchase options, when offered, are charged once and do not automatically renew. Refunds are governed by our Refund & Guarantee Policy.

5. 30-Day Money-Back Guarantee

Eligible initial purchases are backed by Biddinator's 30-day money-back guarantee as described in our Refund & Guarantee Policy. The guarantee is a refund right during the stated period; it is not a guarantee of bid wins, revenue, profit, time savings, or any other business result.

6. Your Documents and Content

You retain your rights in the bid packages, forms, documents, data, and other content you upload or enter into Biddinator ("User Content"). You grant us a limited right to host, copy, process, transmit, and otherwise use User Content only as reasonably necessary to provide, maintain, secure, and improve the Services and to comply with law.

You represent that you have the rights and permissions necessary to upload and process User Content using Biddinator and that doing so does not violate applicable law, confidentiality obligations, intellectual-property rights, or contractual restrictions.

7. Automated Analysis and Your Responsibility

Biddinator uses automated software, which may include artificial intelligence and document-processing systems, to analyze bid packages and identify or prepare documents. Automated systems can make mistakes. Biddinator may fail to identify a required form, may identify something incorrectly, or may produce an incomplete or inaccurate result.

Biddinator is an assistance tool, not a substitute for your review of the solicitation. You remain solely responsible for checking the complete bid package, identifying all requirements, verifying all forms, signatures, attachments, deadlines, and information, and ensuring that your submission is complete, accurate, compliant, and delivered on time.

8. No Procurement, Legal, or Professional Advice

The Services do not provide legal, procurement, accounting, engineering, or other professional advice. Information generated or organized by Biddinator should be reviewed by a qualified person before it is relied upon for a bid submission or business decision.

9. Acceptable Use

You agree not to:

  • Use the Services for unlawful, fraudulent, or abusive purposes.
  • Upload content you do not have the right to use or process.
  • Attempt to gain unauthorized access to the Services, another account, or related systems.
  • Interfere with, disrupt, reverse engineer, scrape, probe, or circumvent security or usage restrictions except where such restrictions cannot legally be imposed.
  • Use the Services to transmit malware or other harmful code.
  • Resell, sublicense, or commercially redistribute access to the Services unless we have agreed otherwise in writing.

10. Biddinator Intellectual Property

Biddinator and its software, branding, designs, interfaces, documentation, underlying technology, and other materials are owned by us or our licensors and are protected by applicable intellectual-property laws. These Terms give you a limited, non-exclusive, non-transferable right to use the Services while your account or purchase remains valid.

11. Third-Party Services

The Services may rely on or integrate with third-party providers, including hosting, payment, analytics, AI, document-processing, or communications services. We are not responsible for third-party services outside our control, and their own terms and privacy practices may apply.

12. Availability and Changes

We may update, modify, add, or remove features from time to time. We do not guarantee that the Services will always be available without interruption or error. We may suspend access when reasonably necessary for maintenance, security, legal compliance, or prevention of misuse.

13. No Guarantee of Results

Except for the refund rights expressly described in our Refund & Guarantee Policy, we do not guarantee any particular outcome from using Biddinator. We do not guarantee that you will save a specific amount of time, submit additional bids, win contracts, generate revenue or profit, or achieve any other business result.

14. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available." We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and any other warranties that may lawfully be disclaimed. We do not warrant that automated document detection or other outputs will be complete, accurate, or error-free.

15. Limitation of Liability

To the fullest extent permitted by law, Biddinator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, lost bids, lost data, or business interruption arising from or related to the Services.

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Services will not exceed the amount you paid to Biddinator during the three months immediately preceding the event giving rise to the claim. This limitation does not apply where applicable law prohibits it.

16. Suspension and Termination

We may suspend or terminate access if you materially violate these Terms, misuse the Services, create a security risk, fail to pay amounts due, or if suspension or termination is reasonably necessary to comply with law. You may stop using the Services at any time, subject to the billing and cancellation terms above.

17. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on the Site with a revised date. Where required by law, we will provide additional notice of material changes.

18. Applicable Law

These Terms are subject to applicable law. Nothing in these Terms limits rights or remedies that cannot lawfully be waived or restricted in your jurisdiction.
